This is a standard SaaS terms-of-service document drafted for how StructureIQ actually operates. It has not been reviewed by a lawyer — have counsel review it, particularly Sections 7 (Liability), 9 (Termination), and 11 (Governing Law), before relying on it as final.
1. Who these terms are between
These Terms of Service ("Terms") are an agreement between Greenex Solutions Private Limited ("Greenex", "we", "us"), CIN U35105TS2026PTC209339, registered office in Hyderabad, Telangana, India, and the company or individual that creates a StructureIQ account ("Customer", "you"). By creating an account or using StructureIQ, you agree to these Terms on behalf of yourself and, if applicable, the company you represent.
2. The service
StructureIQ is a cloud-hosted business management platform covering tendering, project execution, procurement, accounting, GST/TDS compliance, payroll, CRM, and related modules, made available on a subscription basis. We may add, change, or remove features over time as the platform evolves; we'll make reasonable efforts to communicate material changes to active Customers.
3. Accounts and your responsibilities
- You're responsible for the accuracy of the data you or your team enters into StructureIQ — we don't independently verify business, financial, or compliance data you input.
- You're responsible for keeping your account credentials confidential and for all activity under your account, including actions taken by employees or team members you've granted access to.
- You must have the authority to bind your company to these Terms if creating an account on its behalf.
- You agree to use StructureIQ only for lawful business purposes and not to attempt to breach its security, access another Customer's data, or reverse-engineer the platform.
4. Subscription, fees, and payment
Paid plans are billed in advance on the cycle stated at signup (monthly or as otherwise agreed). Fees are non-refundable except where required by law or expressly stated otherwise. We may change pricing for future billing cycles with reasonable advance notice. Suspension or termination of your account does not relieve you of the obligation to pay fees already due.
5. Your data
You own the business data you enter into StructureIQ — client records, financial data, employee data, and everything else you or your team create. We don't claim ownership of it and don't sell it. See our Privacy Policy for how personal data specifically is handled.
You're responsible for the accuracy and legality of the data you enter, including that you have the right to enter data about third parties (employees, clients, vendors) into the platform.
On termination of your account, we retain your data only as long as legally required (see Privacy Policy Section 7) and then delete it, except backups which age out on our standard rotation. Export your data before closing an account if you need a copy.
6. Acceptable use
You agree not to: use StructureIQ to store or transmit unlawful content; attempt to gain unauthorized access to any part of the platform or another Customer's data; interfere with the platform's normal operation (including via excessive automated requests); or use the platform to build a competing product.
7. Service availability and liability
We aim for high availability but do not guarantee the platform will be uninterrupted or error-free. Planned maintenance will, where practical, be communicated in advance.
To the maximum extent permitted by law, StructureIQ is provided "as is", and Greenex's total liability for any claim arising from your use of the platform is limited to the fees you paid in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data, except where such limitation is not permitted by applicable law.
Nothing in these Terms limits liability that cannot be limited under Indian law, including for fraud or wilful misconduct.
8. Third-party services
StructureIQ integrates with third-party services to provide certain features — for example, GST filing and e-Invoice/e-Way Bill generation via a GST Suvidha Provider, and transactional email delivery. Your use of features that route through a third-party service is also subject to that provider's own terms where applicable, and we are not responsible for that third party's acts or omissions.
9. Termination
You may stop using StructureIQ and close your account at any time; you remain responsible for fees already due.
We may suspend or terminate an account for material breach of these Terms (including non-payment) with reasonable notice where practical, or immediately where necessary to prevent harm to the platform or other Customers.
10. Changes to these Terms
We may update these Terms as the platform or our business practices change. The "Last updated" date above reflects the most recent revision. Material changes will be communicated to active Customers; continued use of StructureIQ after a change takes effect constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by the laws of India. Any dispute arising from these Terms or your use of StructureIQ will be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana.
